1. Acceptance of Terms

The following agreement outlines your obligations when using the AtlasGuard website available at https://www.atlasguard.com or any other websites operated by AtlasGuard Inc. or its subsidiaries (collectively, "AtlasGuard"), (each a "Site"). The Site is owned and operated by AtlasGuard, and is accessed by you under the terms of use described below ("Terms of Use"). PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING THE SITE OR ANY CONTENT ON THE SITE, YOU AGREE TO BECOME BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, YOU MAY NOT ACCESS THE SITE. ATLASGUARD'S ACCEPTANCE IS EXPRESSLY CONDITIONED UPON YOUR ASSENT TO ALL OF THESE TERMS AND CONDITIONS.

2. Modifications of Terms of Use

AtlasGuard reserves the right, at its sole and absolute discretion, to modify or replace these Terms of Use at any time. If the alterations constitute a material change, AtlasGuard will notify you by posting an announcement on the Site. What constitutes a "material change" will be determined exclusively at AtlasGuard's sole discretion. You are responsible for reviewing and becoming familiar with any such modifications. Continued use of the Site following such notification constitutes your explicit acceptance of the modified terms.

3. Content Ownership and Usage Rights

AtlasGuard retains all worldwide rights in the intellectual property of the Site and any content herein, including, but not limited to, trademarks, the "look and feel" of the Site, graphical elements, and original content. You must assume that all content on the Site is copyrighted or otherwise protected and owned by AtlasGuard or its licensed third parties. No content, source code, or HTML code may be copied, reproduced, modified, distributed, transmitted, republished, displayed, or utilized for commercial purposes without the prior, express written consent of AtlasGuard.

4. Use of Software and Anti-Benchmarking

To the extent that AtlasGuard provides software, documentation, or APIs from the Site (collectively "Software"), such Software is protected by applicable intellectual property laws. As between the parties, AtlasGuard solely retains all rights, title, and interest in and to the Software. You are permitted to use the Software solely for authorized internal business purposes related to your formal relationship with AtlasGuard. Restrictions: You shall not (i) reverse engineer, decompile, or attempt to discover any source code or underlying algorithms of the Software; (ii) use the Software for competitive analysis, benchmarking, or to develop a competing product; or (iii) bypass any security measures.

5. Indemnification

You agree to indemnify, defend, and hold harmless AtlasGuard, its affiliates, officers, employees, and agents from any liability, damage, cost, or regulatory fine (including reasonable attorneys' fees) arising from: (i) your access to or use of the Site; (ii) your violation of these Terms of Use; or (iii) your infringement of any intellectual property or other rights of any person or entity.

6. Warranty Disclaimers

USER ACCESSES THIS SITE STRICTLY AT THEIR OWN RISK. THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT ARE SPECIFICALLY DISCLAIMED. ATLASGUARD SHALL NOT BE LIABLE FOR ANY LOSS RESULTING FROM THE USE OR UNAVAILABILITY OF THIS SITE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ATLASGUARD IS NOT LIABLE FOR THE TORTIOUS OR NEGLIGENT ACTIONS OF THIRD PARTIES AFFECTING THIS SITE.

7. Linking and Framing

"Framing" or "mirroring" the Site or any of its content is strictly prohibited without prior written consent from AtlasGuard. The Site may provide links to external resources for informational purposes. AtlasGuard does not endorse and is not liable for the availability, accuracy, or content of third-party websites. Reliance on external content is at your own risk.

8. Trademarks and Trade Names

All company names, graphics, logos, designs, and service names are the exclusive trademarks and trade names of AtlasGuard. These marks may not be used in connection with any unauthorized product or service, nor in any manner likely to cause market confusion or dilute AtlasGuard's brand equity.

9. Security and Electronic Communications

Users are strictly prohibited from violating or attempting to violate the security protocols of the Site. AtlasGuard actively monitors its networks and will cooperate with all global law enforcement authorities to prosecute violators. While AtlasGuard utilizes enterprise-grade security measures to protect electronic communications, no transmission over the Internet is entirely secure. You transmit information at your own risk.

10. United States Government Rights

The Software is a "commercial item" as defined at 48 C.F.R. 2.101, consisting of "commercial computer software" and "commercial computer software documentation." If you are a U.S. governmental entity, you acknowledge that use, duplication, reproduction, modification, disclosure, or transfer of the Software is strictly restricted in accordance with FAR 12.212 for civilian purposes and DFARS 227.7202 for military purposes. The Software was developed exclusively at private expense.

11. Governing Law and Binding Arbitration

These Terms of Use constitute the entire agreement between you and AtlasGuard. Any dispute, claim, or controversy arising out of or relating to these Terms of Use shall be resolved by binding, confidential arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, USA. These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles. AtlasGuard reserves the right to seek immediate injunctive relief in any court of competent jurisdiction to protect its intellectual property or security interests.
